- Associate's degree or higher; paralegal certificate from an ABA-approved program strongly preferred.
- Minimum 3–5 years of paralegal experience, with meaningful exposure to corporate law, entity governance, real estate transactions, or a comparable practice area. In-house experience at a real estate company or law firm real estate/corporate practice is highly valued.
- Demonstrated ability to prepare formation documents, maintain corporate records, and navigate multi-state entity compliance requirements independently.
- Exceptional ability to manage multiple concurrent matters, maintain meticulous records, and ensure that nothing falls through the cracks in a high-volume legal environment.
- Proficiency with Microsoft Office Suite (Word, Excel, Outlook), and DocuSign.
- Ability to communicate clearly, professionally, and concisely — in writing and verbally — with attorneys, business unit personnel, outside counsel, and vendors.
- Experience at a real estate developer, private equity real estate firm, REIT, or multi-entity real estate operating company.
- Hands-on experience with contract drafting (from templates), execution logistics, and legal tracker management.
- Experience coordinating KYC/AML diligence in a transactional context.

This is an opportunity for a proactive Corporate Paralegal to join a fast-paced real estate development firm with a diverse portfolio of multifamily, retail, commercial, and mixed-use projects. Working closely with the legal team, you will support entity governance, real estate transactions, regulatory compliance, contract administration, and corporate legal operations. Entity Formation, Maintenance & Dissolution
The Corporate Paralegal will play a central role in the lifecycle management of the Company's legal entity portfolio. Responsibilities include:
- Prepare and file formation documents in jurisdictions of formation and in all states where entities are required to be authorized to transact business.
- Prepare initial governing documents (operating agreements, bylaws, limited partnership agreements) using existing templates under attorney supervision, customized appropriately for each new entity.
- Obtain EINs for newly formed entities via Form SS-4 (online or by mail) and ensure timely assignment to the appropriate entity file.
- Assist with the dissolution of inoperative entities.
- Prepare and maintain organizational charts and asset inventory lists.
- Maintain the Company's internal entity database with current and accurate information, including entity ownership, management structure, tax classification, jurisdiction of formation, and location of governing documents.
- Maintain corporate records with precision.
- Manage independent director and manager engagements in connection with project-level financings.
Regulatory Compliance & Government Filings
- Monitor and track all required annual report filings across all jurisdictions in which Company entities are organized or registered to do business.
- Liaise with external counsel, auditors, and regulatory agencies as needed in connection with compliance filings and regulatory inquiries.
- Flag approaching compliance deadlines proactively to supervising attorneys and take action to ensure timely filing, including coordinating with the registered agent service as necessary.
Contract Drafting & Administration
- Draft routine commercial agreements.
- Manage the execution and delivery process for all agreements — coordinating DocuSign routing in accordance with the Company's Approval and Signatory Matrix, confirming proper execution by all parties, and ensuring executed copies are saved to the correct location in the document management system.
- Maintain and update legal trackers to monitor the status of outstanding contract deliverables, pending negotiations, and executed agreement storage.
Corporate Financing Support
- Assist with corporate-level financing transactions by preparing and responding to KYC/AML diligence requests from lenders and their counsel.
- Coordinate entity-level diligence packages for loan closings, ensuring that all required documentation is current, accurate, and delivered on schedule. Internal Legal Operations & Initiatives
